The following Terms of Use (“Agreement”) applies to your use of UPPERMED, provided by UPPERMED, Pte.Ltd.. (the Service(s)), including without limitation any hardware, mobile applications, web applications, or other services associated with UPPERMED. By signing up for, or otherwise obtaining, an account, or by accessing or using the Services, you are entering into this Agreement and agreeing to be bound by its terms. Please read this Agreement carefully, and do not sign up for an account to use the Services if you are unwilling or unable to be bound by this Agreement.
By agreeing to this Agreement you are also representing that you are of the appropriate legal age and have full authority and capacity to validly enter into such an Agreement, and that you have carefully read, fully understood and agreed to the Agreement or the use of the Services by your family members.
If you have limited authority and legal capacity to validly enter into such Agreement, you should obtain consent from your parents (or any other legal guardian with such authority) before you use the Services and enter this Agreement. Your usage shall represent that you have obtained such consent properly.
If you have no authority and legal capacity to validly enter into such Agreement, then you should not use the Services or you may ask your parents (or any other legal guardian with such authority) to handle this for you.
Services
The Services, which are designed to improve chronic disease management experiences, may include hardware to upload personal health vital data from your medical devices to smart clients (“Hardware), mobile applications to be installed on your smart clients to receive your personal health vital data from your medical devices (“Mobile app(s)”), web applications allowing you to access with a registered user name and password (“Web app(s)”), and other services offered by UPPERMED, Pte,Ltd.. (other services) You may choose to use a part or all of the Services. You may use the Hardware only after you have purchased the Hardware , and you may use the mobile app(s) only after you have downloaded the mobile app(s) through Apple iTunes, Google Play Store or other source. You must also read and accept the UPPERMED Terms of Sale (“Terms of Sale”) before using the hardware or accessing the Service in connection with your use of the hardware. To fully enjoy the benefits of the Services, you may also need to upload, retrieve, store, or share your health data, including but not limited to physiological data and self-monitored data (“Health Data”).
You can also choose to share your Health Data to third parties, such as insurance providers, medical institutions, or other service providers (“Health Service Providers” or “Third Parties”) to enjoy additional services. The parties you choose to share data with may be able to provide different services based on your Health Data; however, you are solely responsible for any actions you choose to take after receiving those services. You will need to decide whether you can trust the services or information provided by Third Parties and accept the risks associated with your decision.
Your Account
You will need to register an account to use UPPERMED. Any information you provide to UPPERMED shall be accurate, complete and updated. You are solely responsible for the activity that occurs on your account or password and for maintaining the security of the mobile application and web application and any information you input to the mobile application and web application. You shall not use or access another users account without such other users express permission. You will immediately notify UPPERMED in writing of any unauthorized use of your account, or any other account-related security breach of which you are aware.
Use of Personal Information
If you create, transmit, submit, display or otherwise make available information while using the Services, you may provide only information that you own or have the right to use. When you provide access to any such information through the Services, you give UPPERMED a license to fully use that information in connection with providing you the Services. However, in terms of Personal Information (as defined in the Privacy Policy, hereinafter “Privacy Policy”), UPPERMED may only use the information you provide as permitted by the Privacy Policy and applicable law. Please closely review our Privacy Policy for more information regarding how we use and disclose your personal information. You have the right to choose whether to share your Personal Information with UPPERMED or Health Service Providers.
Reviews, Comments, Communications, and Other Contents
If you post content or submit material (personal information excluded), you grant UPPERMED a nonexclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media. You grant UPPERMED and sublicensees the right to use the name that you submit in connection with such content, if they choose. You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and in the event a third party files a claim against UPPERMED with regard to the content you post, you are solely responsible for all the responsibilities, fees and liabilities incurred therefrom. UPPERMED has the right but not the obligation to monitor and edit or remove any activity or content. UPPERMED takes no responsibility and assumes no liability for any content posted by you or any third party.
No Medical Advice
UPPERMED does not offer medical advice or diagnoses, or engage in the practice of medicine. Our Services are not intended to be a substitute for professional medical advice, diagnosis, or treatment and are offered for informational purposes only. Always seek the advice of your physician or other qualified health provider with any questions regarding your medical condition or the use (or frequency) of any medication or medical device. Never disregard professional medical advice or delay in seeking it because of something you have read in connection with our Services.
You are solely responsible for any decisions or actions you take based on the information and materials available through the Services. Reliance on any information provided by UPPERMED or in connection with the Services is solely at your own discretion and risk.
Third Party Sites and Services
UPPERMED may provide links to, or contact information for, third party’s sites or services. UPPERMED is not responsible for, and does not endorse, any content of third party’ service, sites, apps or links.
UPPERMED also may enter into business arrangements with third parties; in the course of the arrangements, we may share with them anonymous data or information, which are de-identified data and cannot be re-identified and attributable to you or anyone. Some third parties may want you to share your personal data or information with them in order to provide services. Whether to share your personal data or information with these third parties will be up to you. By properly following instructions provided to you by UPPERMED and these third parties, you will be able to decide whether you want to share personal data or information with these third parties. Sharing of your personal data or information with third parties is solely at your own discretion and risk.
Rules of Conduct
As a condition of use, you promise not to use the Services for any purpose that is prohibited by the Terms of Use or other rules or policies implemented by UPPERMED from time to time. The Services are provided only for your own personal, non-commercial use.
You agree that your use of the Service is not for an illegal purpose or in violation of the law.
You shall not (and shall not permit any third party to) take any action that: (i) would constitute a violation of any applicable law, rule or regulation; (ii) infringes on any intellectual property or other right of any other person or entity; (iii) is threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, obscene, offensive, or profane; or (iv) impersonates any person or entity; (v) impose or may impose an unreasonable or disproportionately large load on UPPERMED’s (or its third party providers) infrastructure; (vi) interfere or attempt to interfere with the proper working of the Services or any activities conducted on the Services; (vii) bypass any measures UPPERMED may use to prevent or restrict access to the Services (or parts thereof); (viii) decipher, decompile, disassemble, reverse engineer or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Services, except to the limited extent applicable laws specifically prohibit such restriction; (ix) modify, translate, or otherwise create derivative works of any part of the Services; or (x) in any way transfer any or all of the rights that you receive hereunder.
License
UPPERMED GRANTS YOU A LIMITED, NON-EXCLUSIVE, NON-TRANSFERRABLE, NON-SUBLICENSABLE LICENSE TO ACCESS AND MAKE PERSONAL AND NON-COMMERCIAL USE OF SERVICES. THE APPLICATION IS SOLELY TO BE USED IN CONNECTION WITH THE SERVICE FOR YOUR PRIVATE, PERSONAL, NON-COMMERCIAL USE, SUBJECT TO ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT AS THEY ARE APPLICABLE TO THE SERVICE.
Notifications Provided by UPPERMED
UPPERMED may from time to time provide automatic notifications. Automatic notifications may be sent to you following certain changes made to your UPPERMED account (including, without limitation, any account you create for accessing UPPERMEDs Services). Some of these notifications may then be customized, deactivated or reactivated by you. UPPERMED may add new notifications from time to time, or cease to provide certain notifications at any time upon its sole discretion. Some notification may have different options available, and you may be asked to select from among these options upon activation of your notification service.
Because notifications are not encrypted, we will never include your password. However, notifications may include some information about your account(s). Information such as analysis of your Health Data may be included. Anyone with access to your email accounts will be able to view the content of these notifications.
You understand and agree that any notifications provided to you through the Mobile app(s) or Web app(s) may be delayed or prevented by a variety of factors. UPPERMED will do its best to provide notifications in a timely manner with accurate information. However, we neither guarantee the delivery nor the accuracy of the content of any notifications. You also agree that UPPERMED shall not be liable for any delays, failure to deliver, or misdirected delivery of any notification; for any errors in the content of notification; or for any actions taken or not taken by you or any third party in reliance on a notification.
Commercial Use of the Services
If you are interested in using UPPERMED Services in a professional or commercial environment or for non-personal use, you must contact UPPERMED and agree to other written terms and conditions.
Fees and Payments
The use of UPPERMED mobile app(s) and web app(s) is currently free, but certain services or features require payment to be activated; UPPERMED reserves the right to require payment of fees for a part or all of the Services. You understand and agree that the purchase of the hardware is governed by the Terms of Sale. You agree to timely pay all applicable fees in connection with your use of the Services, and in the event of any failure to timely make payment in full, UPPERMED has the right to terminate and cease providing the corresponding Services immediately. UPPERMED reserves the right to change fees and to institute new charges at any time, with a prior notice to you, which may be sent by email or posted on the Services. Your use of the Services following such notification constitutes your agreement to the terms of payment.
For certain services provided by UPPERMED that are subscription based, by subscribing to those services you understand and agree to pay the full amount charged.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL UPPERMED (NOR ITS DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, CONTENT PROVIDERS, LICENSORS OR RESELLERS) BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY WITH RESPECT TO THE SERVICE (I) FOR ANY LOST PROFITS, DATA LOSS, LOSS OF GOODWILL OR OPPORTUNITY, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER, OR SUBSTITUTE GOODS OR SERVICES, (II) FOR YOUR RELIANCE ON THE SERVICE (III) FOR ANY DIRECT DAMAGES IN EXCESS (IN THE AGGREGATE) OF THE FEES PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE APPLICABLE CLAIM OR (IV) FOR ANY MATTER BEYOND ITS OR THEIR REASONABLE CONTROL, EVEN IF UPPERMED HAS BE ADVISED OF THE POSSIBILITY OF ANY OF THE AFOREMENTIONED DAMAGES.
Support
UPPERMED offers email-based and online support tools. You may access support resources or contact our support by visiting https://www.uppermed.com.sg UPPERMED does not make any promises regarding how quickly we will respond to your request for support, or that we will be able to fix any problems you may be having. Any suggestions by UPPERMED regarding use of the Services shall not be construed as a warranty.
Termination of the Services
UPPERMED may terminate your access to all or any part of the Services at anytime if you fail to comply with these Terms of Use. This may result in the forfeiture and destruction of all information associated you’re your membership and may immediately terminate your ability to use the Services. If you wish to terminate your account, you may do so byceasing use of the Services, and deleting the mobile app. All provisions of the Terms of Use, which by their nature should survive termination, shall survive termination, including, without limitation, warranty disclaimers, indemnity and limitations of liability. Further, we will retain the aggregated, non-personally identifiable information and data, which may be generated from or based on the information relevant to your account, even after you deactivate or terminate your account. You understand that due to system or network failure, the Services maybe interrupted or data may not be properly saved; UPPERMED will do its best to recover its systems and Services, but you agree not seek any compensation if the aforementioned situation occurs.
Warranty Disclaimer
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE AND, TO THE FULLEST EXTENT PERMITTED BY LAWS, IS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NONINFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE OR USAGE OF TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. UPPERMED AND ITS DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, SPONSORS AND PARTNERS DO NOT WARRANT THAT: (A) THE SERVICES WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) ANY CONTENT OR SOFTWARE AVAILABLE AT OR THROUGH THE SERVICES IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS. YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
Indemnification
You shall defend, indemnify, and hold harmless UPPERMED, its affiliates and each of its and its affiliates’ employees, contractors, directors, suppliers and representatives from all liabilities, losses, claims, and expenses (including reasonable litigation expenses and attorney fees) that arise from or relate to (i) your use or misuse of, or access to, the Services, or (ii) your violation of the Terms of Use or any applicable law, contract, policy, regulation or other obligation. UPPERMED reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with UPPERMED in connection therewith.
Arbitration
THE AGREEMENT AND RELEVANT NOTIFICATIONS ARE ENTERED INTO IN ELECTRONIC FORM. A PRINTED VERSION OF THE TERMS OF USE AND OF ANY NOTICE GIVEN IN ELECTRONIC FORM SHALL BE ADMISSIBLE IN JUDICIAL OR ADMINISTRATIVE PROCEEDINGS BASED UPON OR RELATING TO THE TERMS OF USE TO THE SAME EXTENT AND SUBJECT TO THE SAME CONDITIONS AS OTHER BUSINESS DOCUMENTS AND RECORDS ORIGINALLY GENERATED AND MAINTAINED IN PRINTED FORM. YOU AND UPPERMED AGREE THAT ANY CAUSE OF ACTION, ARBITRATION OR JUDICIAL PROCEEDINGS ARISING OUT OF OR RELATED TO THE SERVICE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION AROSE; OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED. THE TERMS OF USE SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE REPUBLIC OF CHINA (ROC), TAIWAN, EXCLUDING ITS CONFLICTS OF LAW RULES. ANY DISPUTE, CONTROVERSY, DIFFERENCE OR CLAIM ARISING OUT OF, RELATING TO OR IN CONNECTION WITH THIS AGREEMENT(INCLUDING THAT BETWEEN YOU AND UPPERMED, OR YOU AND MANAGERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES OR AFFILLIATES OF UPPERMED) SHALL BE FINALLY SETTLED BY ARBITRATION REFERRED TO THE CHINESE ARBITRATION ASSOCIATION, TAIPEI IN ACCORDANCE WITH THE ASSOCIATION’S ARBITRATION RULES. THE PLACE OF ARBITRATION SHALL BE IN TAIPEI, TAIWAN. THE ARBITRATION TRIBUNAL WILL BE COMPOSED OF THREE ARBITRATORS. THE LANGUAGE OF ARBITRATION SHALL BE ENGLISH. THE ARBITRAL AWARD SHALL BE FINAL AND BINDING UPON BOTH PARTIES.
CHANGES IN THE TERMS OF USE
UPPERMED MAY MODIFY THIS AGREEMENT FROM TIME TO TIME. ANY AND ALL CHANGES TO THIS AGREEMENT (INCLUDING BUT NOT LIMITED TO THE FEES AND PAYMENT SECTION) WILL BE POSTED ON THE UPPERMED SITE, APPLICATION, AND/OR E-MAILED TO YOU. IN ADDITION, THE AGREEMENT WILL ALWAYS INDICATE THE DATE IT WAS LAST REVISED. YOU ARE DEEMED TO ACCEPT AND AGREE TO BE BOUND BY ANY CHANGES TO THE AGREEMENT WHEN YOU USE THE SERVICE AFTER THOSE CHANGES ARE POSTED.
MISCELLANEOUS
THE TERMS OF USE ARE THE ENTIRE AGREEMENT BETWEEN YOU AND UPPERMED WITH RESPECT TO THE SERVICES, AND SUPERSEDE ALL PRIOR OR CONTEMPORANEOUS COMMUNICATIONS AND PROPOSALS (WHETHER ORAL, WRITTEN OR ELECTRONIC) BETWEEN YOU AND UPPERMED WITH RESPECT TO THE SERVICES. NOTWITHSTANDING THE FOREGOING, YOU ACKNOWLEDGE THE EXISTENCE AND VALIDITY OF THE HARDWARE TERMS OF SALE, WHICH GOVERNS YOUR USE OF THE HARDWARE, IF APPLICABLE. IN THE EVENT OF ANY CONFLICT BETWEEN THIS AGREEMENT AND THE TERMS OF SALE DOCUMENT, THE APPLICABLE TERMS OF SALE DOCUMENT SHALL CONTROL WITH RESPECT TO THE SUBJECT MATTER OF SUCH TERMS OF SALE ONLY.
IF ANY PROVISION OF THE TERMS OF USE IS FOUND TO BE UNENFORCEABLE OR INVALID, THAT PROVISION WILL BE LIMITED OR ELIMINATED TO THE MINIMUM EXTENT NECESSARY SO THAT THE TERMS OF USE WILL OTHERWISE REMAIN IN FULL FORCE AND EFFECT AND ENFORCEABLE.
THE FAILURE OF EITHER PARTY TO EXERCISE IN ANY RESPECT ANY RIGHT PROVIDED FOR HEREIN SHALL NOT BE DEEMED A WAIVER OF ANY FURTHER RIGHTS HEREUNDER.
THE TERMS OF USE ARE PERSONAL TO YOU, AND ARE NOT ASSIGNABLE OR TRANSFERABLE BY YOU EXCEPT WITH UPPERMED’S PRIOR WRITTEN CONSENT.
UPPERMED MAY ASSIGN, TRANSFER OR DELEGATE ANY OF ITS RIGHTS AND OBLIGATIONS HEREUNDER WITHOUT CONSENT.
NO AGENCY, PARTNERSHIP, JOINT VENTURE, OR EMPLOYMENT RELATIONSHIP IS CREATED AS A RESULT OF THE TERMS OF USE.
ALL NOTICES UNDER THE TERMS OF USE WILL BE IN WRITING AND WILL BE DEEMED TO HAVE BEEN DULY SERVED:
- IF DELIVERED IN PERSON, WHEN THE NOTICE IS DELIVERED;
- IF ELECTRONICALLY DELIVERED (INCLUDING BUT NOT LIMITED TO ELECTRONIC MAILS AND NOTIFICATIONS), WHEN THE NOTICE IS SENT; OR
- IF DELIVERED BY COURIER, REGISTERED MAIL OR DOUBLED REGISTERED MAIL, WHEN RECEIPT OF THE NOTICE IS CONFIRMED BY THE POST OFFICE OR COURRIER COMPANY.
THE CLAUSE HEADINGS HEREOF ARE FOR THE CONVENIENCE OF THE READER ONLY AND SHALL NOT INFLUENCE THE CONTENT OR INTERPRETATION OF THE AGREEMENT.

以下服務條款(以下簡稱本協議)是由新加坡商雅渼醫療器材股份有限公司(UPPERMED PTE.LTD.)(下稱「UPPERMED」)所提供,適用於UPPERMED所提供PDCare行動應用程式、硬體、或網頁應用程式(下稱「服務」)。您必須註冊才能使用我們的服務,您一旦註冊即表示您同意本協議並受以下內容拘束。請您詳閱本協議內容,若您無法或不願受本協議拘束,請勿註冊帳戶使用我們的服務。
一旦您同意本協議,即代表您已達法定年齡,並具有完全的行為能力及權限可有效簽定本協議,且已充分審閱、了解並同意本協議或同意您的家屬使用我們的服務。
如您尚未達法定年齡或沒有完全行為能力,在使用本服務之前,您必須已先取得父母親(或其他有權的法定代理人)同意及允許您使用本服務以及訂定本協議。您的使用,即表示您已經取得了該等同意及允許。
如您完全無行為能力,您自己無法使用本服務亦無法訂定本協議,請勿註冊使用本服務或者您可以請您的父母(或其他有權的法定代理人)代為處理。
服務
本服務之目的,在於提升洗腎患者資料之管理效能。服務內容包括可將您的醫療設備中的個人健康數據上傳至智慧型手機或平板電腦的硬體(“硬體”)、安裝在您的智慧型手機或平板電腦中以接收由您醫療設備上傳的個人健康數據的行動應用程式(“程式”)、使您可以利用您的帳號及密碼登入的網頁版應用程式(“網頁版程式”)及其他服務。您可以選擇使用全部服務或只使用部分服務。您只能在購買硬體後才有權使用硬體,且在使用硬體前,您還必須閱讀並接受UPPERMED的產品銷售條款。您必須先經由Apple ITunes Google Play Store 或其他類似服務先下載行動應用程式後,才可使用該程式。為了達到本服務之目的,您可能必須透過程式輸入、上傳、取得、保存、或分享您的健康數據,包含但不限於生理檢驗數據、自我健康監測數據等(下稱「健康數據」)。
在您授權後,您可以將您的健康數據分享給第三方並獲得來自您授權對象的服務,您的授權對象可能包含保險公司、醫療機構或其他健康服務提供商(下稱「健康服務提供商」或「第三方」)等。您的授權對象可依據您分享的健康數據,提供給您不同服務;您於獲得服務後所採取的任何決定或行動,將由您全權負責。您是否信賴授權對象提供的任何資訊,完全由您自行決定和承擔風險。
您的帳戶
您必須註冊帳戶才能使用程式。您提供給UPPERMED的任何資訊,需正確且完整。您必須全權負責您的帳戶及密碼,確保應用程式及您輸入在應用程式裡的資訊之安全性。您無權在未獲得許可的情形下,使用或取得其他使用者的帳戶;若您發現有任何人未經授權使用您帳戶,或是其他侵害帳戶安全性之情形,請您立即以書面通知UPPERMED。
個人資料的使用
在您使用本服務時所建立、輸入、呈現、提交或以任何方式提供之資訊,您必須確認您是資訊擁有者或您有權使用並提供該資訊。當您透過本服務提供資訊,您即完全授權UPPERMED使用該資訊。惟就個人資料(定義請參照「隱私權政策」,下稱 隱私權政策」)而言,UPPERMED僅能依據隱私權政策及法律使用您提供之資料。有關於我們如何使用及揭露您個人資料,請參閱我們的隱私權政策。您有權利決定是否將任何您提供之個人資訊或數據分享給UPPERMED或健康服務提供商。
意見及評論
一旦您透過本程式發佈或提交資訊(此係指非屬個人資料之資訊),即代表您同意授予UPPERMED對該資訊的非專屬、免費、永久、不可撤銷、可再轉授權之使用、複製、修改、改編、出版、翻譯、衍生創作、發佈、公開、經由全世界各種載具展示的權利,且同意授予UPPERMED及被轉授權人選擇使用您的名稱發佈內容的權利。您必須聲明和保證,您擁有發佈該資訊的權利,且所發布資訊的內容必須確實、不損害他人權利,若第三人因您發佈之內容向UPPERMED請求損害賠償,您應單獨負擔所有相關責任、費用及賠償。UPPERMED有權但並無義務監控、編輯或刪除任何內容。您或第三人所張貼的任何內容,UPPERMED一概不負責任。
非醫療建議
UPPERMED不提供醫療諮詢、診斷,或從事醫療行為。我們服務之目的不在於取代專業醫療服務,而僅是提供您資訊。至於有關您的健康狀況、使用任何藥物或醫療設備的疑問,請您向醫生或其他醫療專業者詢問意見。請您勿因我們所提供的服務,而忽略專業的醫療諮詢,或延遲就醫。您在使用本服務後,所採取的任何決定或行動,將由您全權負責。您是否信賴UPPERMED或本服務提供的任何資訊,完全由您自行決定和承擔風險。
第三方網站及服務
UPPERMED提供之服務可能包括第三方網站之連結或資訊,但UPPERMED對第三方之服務內容、網站、App或連結之內容不負擔任何責任,亦不給予認同或保證。
UPPERMED可能與第三方合作,與之分享經佚名化之數據或資料(亦即業經去識別化且無法再恢復的資料)。有些第三方可能會需要您分享個人數據或資料,才能提供服務;您是否願意將個人數據或資料分享給第三方,您可自行決定;請您務必詳細了解UPPERMED及第三方提供的說明後,再決定是否與第三人共享個人數據或資料。若您決定與第三方分享您的個人數據或資料,您必須自行承擔您與第三方共享個人數據或資料可能產生的風險。
行為規則
您同意在使用UPPERMED提供的任何服務時,必須遵守本協議或任何UPPERMED的規範或政策。本服務僅提供您個人使用,不得作為商業用途使用。
您同意不得基於違法目的使用本服務,並不得違反相關法令規定。
您不得(亦不得透過任何人)採取下列行為:(1)有構成違法之虞之行為;(2)侵害他人智慧財產權 ;(3)威脅、侮辱、騷擾、誹謗、傷害、詐欺、侵害他人隱私、侵權、猥褻等行為;(4)假冒第三人;(5)造成UPPERMED (或UPPERMED第三方合作夥伴 )之設備或設施不合理的負擔;(6)干擾或企圖干擾UPPERMED服務的正常運作;(7)破解或以任何方式規避UPPERMED用來防止或限制使用服務(或一部份的服務)的措施 ;(8)以破譯、反編譯、逆向工程或其他方式,試圖獲得任何本程式之原始碼或相關演算法;(9)以修改、翻譯或其他方式,創造任何與本服務有關的衍生著作;(10 )以其他方式轉讓本協議下之任何權利。
授權
UPPERMED授予您有限、非專屬的、不得轉讓、不得轉授權之個人、非商業用途的使用權。依據本協議提供的所有應用程式及服務,僅提供您作個人、非商業用途使用。
UPPERMED之通知
UPPERMED將會不定時發送通知給您。例如,當您的UPPERMED帳戶有任何異動時,我們可能會寄發通知給您。某些的通知是允許您手動設定、取消、或重新啟動的。UPPERMED也可能隨時增加新的通知,或自行決定停止提供某些通知。有些通知可能會包含不同的選項需要您做選擇。
由UPPERMED所發送的通知並不會加密,所以我們絕不會在通知中提及您的密碼。但因為發送的通知中仍可能包括您帳戶的其他個人資訊,例如健康紀錄的數據分析,任何可讀取您電子郵件信箱的人還是可以查看這些通知的內容。
您已瞭解並同意,由行動應用程式及網頁應用程式提供給您的任何通知可能會有延遲或被攔截的情形,UPPERMED將竭力提供及時的通知與準確的訊息。但我們無法保證成功通知,也無法保證通知內容的正確性。您也同意 UPPERMED不對任何延誤、無法通知、不當通知或通知內容中的任何錯誤負責,也不對您或任何第三方因該通知而採取或沒有採取的行動負責。
服務的商業用途
若您有興趣將本服務作商業、專業,或任何非個人目的之使用,您必須與UPPERMED聯繫,並同意其他的書面條款及條件。
收費與付款
目前使用我們的行動應用程式或網路應用程式是免費的,但有些服務或功能您需要付費才能使用,UPPERMED保留請求支付某些或全部服務費用的權利。您已瞭解並同意您若購買硬體,則必須另外遵守“產品銷售條款”。您同意於使用服務時準時支付所有相關費用;若您無法及時支付費用,UPPERMED有權立即停止提供服務。UPPERMED保留改變收費金額的權利,該通知可能透過電子郵件或UPPERMED提供的服務傳送給您。若您在該通知發布後仍繼續使用服務,即代表您已同意新的費用制度。
另外,UPPERMED會提供某些訂閱服務。您已瞭解並同意當您選擇訂閱某些服務,即應為該訂閱服務全額付款。
責任限制
在法律允許的最大範圍內,任何情況下UPPERMED (或其董事、僱員、代理人、合作夥伴、供應商等)對於您因本協議、服務及其相關事項所遭受之所失利益損害、收入減損、資料或財務損失,或間接、特殊、附隨、衍生性損害、或懲罰性違約金或賠償等,均不負責,包含但不限於任何利潤、營收、商譽或收入上之損失,或喪失原預期可節省費用之利益、因您信賴或使用服務所發生的損害或損失,無論此種損害係基於合約、保證、侵權責任或其他依據而生,亦不因UPPERMED是否已預見或已被告知此種損害發生的可能性而受影響。對於使用UPPERMED服務所造成的直接損害,UPPERMED的賠償責任以請求事由發生前12個月UPPERMED對您收取的總服務費用為上限。

UPPERMED提供電子郵件和線上支援工具。您可以透過聯絡服務中心或造訪 https://www.uppermed.com.sg 與我們聯繫取得,以獲得支援。 UPPERMED並不承諾快速回應您的要求,也不保證我們能有效解決您提出的任何問題。UPPERMED提供有關使用本服務的任何建議,並非保證,亦不得解釋為保證。
終止服務
若您未遵守本協議,UPPERMED得隨時終止您使用全部或部分服務,這可能將導致與您帳戶相關之資訊、資料遭停用、喪失或銷毀。同時,UPPERMED得立即終止您以任何方式使用本服務。若您希望終止您的帳戶,您可以停止使用本服務,並刪除行動應用程式,但依條款性質在終止後仍會有效的條款將繼續有效,包括但不限於免責聲明、賠償和責任限制條款。此外,在您的帳戶停用或終止後,我們仍將保留從您帳戶衍生或相關的統計性、匯總性、非可識別個人身份之資料和數據。請參閱隱私權政策。
您瞭解本服務或有因系統故障而遲延、中斷情形,或可能造成您使用不便或資料喪失、錯誤等情形,我們將盡商業上合理努力修復系統,但您同意不就上述事件對我們為任何請求。
免責聲明
本服務係以「現狀」以及「目前可得」狀態提供。除本協議明文規定者外,我們均不對服務做出任何明示或默示的保證,包括但不限於所有權、未侵權、可商品化、以及任何因履行過程中可能被解釋為默示提供之保證。我們和董事、員工、代理人、供應商、贊助商及夥伴均不保證本服務之安全性、不保證隨時隨地均可獲得服務、不保證任何缺陷或錯誤都將得到更正,也不保證使用本服務的結果將滿足您的需求。您同意使用本服務後,由您自行承擔風險。
賠償
如因(1)您違法使用或濫用服務,或(2)您違反本協議或其他任何法律、契約、政策的義務,就因此導致之所有責任、損失、損害、費用(包括訴訟費和律師費),您同意賠償UPPERMED、UPPERMED的關係企業及其員工、承包商、董事、供應商。 在上述情況下,如您與UPPERMED為共同被告或潛在的賠償義務人,UPPERMED有權單獨選任訴訟代理人、辯護人和控制相關訴訟及賠償事宜,您必須提供協助,並與UPPERMED合作。
仲裁
本協議及相關通知是以電子書面方式做成。當本協議及相關通知被列印出來成為紙本,效力應該與其他原本就以紙本做成的商業文件及紀錄,有相同的效力,可拘束相關當事人。您和UPPERMED同意任何與本服務相關或因為本服務所生之請求、仲裁或司法程序,應在請求、仲裁或司法程序事由發生日起一年內提出。本協議以中華民國法律為準據法,並排除任何涉外法的適用。任何由本協議所生或與本協議有關之爭議(包括您與UPPERMED,或您與UPPERMED之經理人、董事、雇員、代理或關係企業間之爭議),應提交中華民國仲裁協會,依中華民國仲裁法及該協會之仲裁規則於台北以仲裁解決之。仲裁庭應由三位仲裁人組成。仲裁語言應為中文。仲裁判斷具最終拘束力,應拘束雙方當事人。
條款變更
UPPERMED保留修改本協議之權利,我們可能隨時變更、增加、終止全部或部分的協議內容(包括但不限於「收費與付款」段落中關於價格與付款條款的規定),並透過公告、寄送電子郵件、或透過行動應用程式或網頁應用程式通知您,且於公告或電子郵件寄發時生效。此外,您可以透過本協議的最新更新日期了解本協議的最後更新時間。您有義務經常檢視本協議內容之變更,若您仍繼續使用本服務,即表示您同意繼續受變更後之條款拘束。
其他
本協議已涵蓋您與我們就我們提供之服務而訂立的全部條款,並取代之前所有的口頭、書面或電子通訊內容。同時您亦理解並同意產品銷售條款(規範關於硬體使用事宜)的存在以及有效性。如有任何衝突,各銷售條款的對應條款得,並僅得適用於該條款所稱之銷售標的物。
若本協議中任何條文或任何部分條文無效,該條款將被限縮到法律許可的最大範圍內適用,如此本協議仍屬全部有效且可被執行。
任一方未行使權利不得解釋為放棄本協議下所賦予的權利。
UPPERMED可能會轉讓本協議之權利義務與其他第三方,但您非經UPPERMED事前書面同意,您不得轉讓本協議書之權利義務與任何第三人。本協議並未創設任何代理、合夥、合資或僱傭關係。
依據本協議所發之所有通知,均應以書面為之。若該書面係透過電子方式(包括但不限於電子郵件、本程式之通知)為之,以發送時視為送達;若當面遞交,收受時視為送達,若寄發快捷、掛號或雙掛號信件,於快遞或郵政系統確認收受時視為送達。
本協議各條文之標題僅係為閱讀方便而使用,並不影響本協議之內容及解釋。
